Terms of Service

These Terms of Service ("Terms") govern your use of the website (spadeandco.com), mobile application ("Spade & Co App" or "App"), wearable devices ("Devices"), and all related products and services (collectively, the "Services") provided by Blackcurrent LLC, a Wyoming limited liability company, doing business as Spade & Co ("Spade & Co," "we," "us," or "our").

By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Privacy Policy

For information about how we collect, use, and share your data, please read our Privacy Policy. By using our Services, you agree that we may collect and use your information in accordance with our Privacy Policy.

2. Eligibility

You must be at least 13 years old (or 16 years old in the European Economic Area and United Kingdom) to use our Services. If you are under 18 years old, you must have your parent or guardian's consent to use our Services and they must agree to these Terms on your behalf. If we believe that you are under the applicable minimum age, we may terminate your account and your access to our Services.

3. Your Account

To access certain features of our Services, you may create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Creating an account is optional. If you choose not to create an account, you may use certain limited features of the App and Devices as a guest. Guest data is stored locally on your phone and is not uploaded to our servers.

4. Devices and App

4.1 Device Requirements

To use our Services fully, you need a compatible mobile device (smartphone) with internet access and Bluetooth capability, along with a Spade & Co Device. You are responsible for maintaining your mobile device and internet connection. Internet data charges from your carrier may apply.

4.2 App License

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Spade & Co App on a personal mobile device that you own or control, solely for your personal, non-commercial use in connection with our Devices.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works of the App or any part thereof, except as expressly permitted by applicable law.

4.3 Device Management

The App allows you to manage your Device, including syncing data, updating firmware, customizing watch faces, and configuring Device settings. Firmware updates may be required from time to time for continued functionality, security, or compatibility.

4.4 Services Provided

Our Services include the following features:

(a) Account and Data Management: Create and manage your account, sync and store your health and training data.

(b) Health and Fitness Tracking: Record and display daily activity data (steps, distance, calories), exercise tracking (walking, running, cycling, swimming, and other activities), and health metrics (heart rate, blood oxygen, sleep quality, stress levels).

(c) GPS Route Tracking: For outdoor activities, the App can record your movement route using your phone's GPS. You must enable GPS on your phone for this feature to work.

(d) Watch Face Customization: Browse, download, and install custom watch faces from the Watch Face Market within the App.

(e) Notifications: Receive notifications from your phone on your Device, including calls, messages, and app notifications.

(f) Weather: View weather information on your Device (requires location permission and active Bluetooth connection to the App).

(g) Health Reports: Generate periodic health reports based on your activity and health data. These reports are for informational purposes only and do not constitute medical advice.

(h) SOS/Emergency Contact: If configured during setup, certain Devices allow you to call a designated emergency contact by holding the Crown button.

(i) Additional Features: Alarm clock, reminders, timer, stopwatch, music control, find my phone, menstrual cycle tracking, and other features as described in the App.

We update the App and Device firmware from time to time. Actual features depend on the version of the App and Device you are using.

5. Health and Medical Disclaimer

OUR SERVICES ARE NOT INTENDED FOR MEDICAL DIAGNOSIS, TREATMENT, CURE, OR PREVENTION OF ANY DISEASE OR HEALTH CONDITION. Health data provided by our Devices and App, including but not limited to heart rate, blood oxygen saturation (SpO2), sleep tracking, step counting, calorie estimates, and stress measurements, is for general wellness and informational purposes only.

DO NOT RELY ON OUR SERVICES FOR MEDICAL DECISIONS. Always consult a qualified healthcare professional before starting any exercise program or making decisions based on health data from our Devices. In case of a medical emergency, contact emergency services (call 911) immediately.

If you have a medical condition, heart disease, or are taking photosensitive medication, please consult your doctor before using our Devices. Using the heart rate measurement function may pose risks to users with certain conditions.

Prolonged contact with wearable devices may cause skin irritation or allergies in some users. To reduce discomfort: keep the Device clean and dry, do not wear it too tightly, and remove it for at least one hour after extended wear. If you notice skin irritation, soreness, tingling, numbness, burning, or stiffness while or after wearing the Device, remove it and discontinue use. If symptoms persist for more than 2 to 3 days, consult your doctor.

6. Intellectual Property

All content included in or made available through our Services, including text, graphics, logos, images, audio, video, software, and data (collectively, "Spade & Co Content"), is the property of Spade & Co or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any Spade & Co Content without our prior written permission, except as expressly permitted by these Terms.

The Spade & Co name, logo, and all related trademarks, service marks, and trade dress are the property of Spade & Co and may not be used without our prior written permission.

7. Purchases, Returns, and Shipping

Products displayed on our website are available for purchase and delivery within the United States, Canada, and select international markets. All prices are quoted in U.S. Dollars.

For our return, refund, and warranty policies, please visit our Warranty and Returns page or contact our customer support at support@spadeandco.com.

We reserve the right to limit quantities, refuse orders, or cancel orders at our discretion, including orders that appear to be placed for resale purposes. Products purchased from Spade & Co are for personal use only and may not be resold.

Free shipping is available for orders over $100. Orders under $100 are subject to standard shipping charges.

7.1 In-App Purchases

Certain features or content within the App (such as premium watch faces) may be available for purchase. In-app purchases are processed by the applicable app store (Apple App Store or Google Play) and are subject to their terms and refund policies.

8. User Conduct

When using our Services, you agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Services to transmit content that is false, defamatory, harassing, threatening, obscene, or otherwise objectionable
  • Reproduce, duplicate, copy, sell, or exploit any portion of the Services without our express written permission
  • Use automated means (bots, scrapers, etc.) to access the Services
  • Circumvent or disable any security features of the Services

9. Third-Party Services

Our Services may integrate with or link to third-party services, including but not limited to Apple Health, Google Health Connect, payment processors, map services, and weather services.

We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and privacy policies. We encourage you to review the terms and privacy policies of any third-party services you use in connection with our Services.

Any disputes arising from your use of third-party services shall be resolved between you and the third-party provider. Spade & Co is not a party to any agreement between you and a third party and shall not be liable for any claims related to third-party services.

10. User Content

You are solely responsible for any content you upload, submit, or transmit through our Services, including product reviews, feedback, photos, and messages ("User Content").

By submitting User Content, you grant Spade & Co a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content in connection with our Services and marketing, subject to our Privacy Policy.

You represent that your User Content does not violate any third party's rights and is not unlawful, defamatory, obscene, or otherwise objectionable.

11. Feedback

If you provide us with comments, suggestions, or feedback regarding our Services, you agree that we may use, disclose, and otherwise exploit such feedback without restriction and without compensation to you.

12. Modifications to Services

We may modify, suspend, or discontinue any part of our Services at any time, with or without notice. This includes adding or removing features, updating the App or Device firmware, or changing pricing. We are not liable to you for any modification, suspension, or discontinuation of our Services.

Software updates may be downloaded and installed automatically through your app store. We recommend keeping automatic updates enabled to ensure you have the latest features and security patches.

13. Termination

We may suspend or terminate your account or access to our Services at any time, for any reason, including if we reasonably believe you have violated these Terms. We will make reasonable efforts to notify you before taking such action.

You may close your account at any time by deleting your account through the App or by contacting us at support@spadeandco.com. Upon termination, your right to use the Services will cease immediately.

The following sections survive termination of these Terms: Sections 1, 5, 6, 10, 11, 14, 15, 16, 17, 18, and 19.

14. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content provided through our Services, including health and fitness data.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPADE & CO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE AMOUNT YOU PAID TO SPADE & CO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify, defend, and hold harmless Spade & Co and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association in Clark County, Nevada, or in a court of competent jurisdiction located in Clark County, Nevada.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Spade & Co regarding the use of our Services.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Notices: We may provide notices to you through the App, by email, or by posting on our website. You may contact us using the information provided in Section 19.
